Tech Due Diligence

Before you sign, you need to know what the target's technology is really worth: what holds up, what will cost money, and what could derail the business plan. I run the review in 10 to 15 days, with the eye of someone who has led IT functions and had to live with other people's choices.

When to call me

Situations where I can help.

You are preparing an acquisition, a build-up or a minority investment.
The business plan relies on a platform, data or AI.
You want to put a number on technical debt and upgrades before negotiating.
You are preparing an exit and want to anticipate buyers' questions.
What I take on

The scope covered.

Architecture and technical debt

Robustness of applications and infrastructure, obsolescence, ability to scale.

Cybersecurity and compliance

Level of protection, past incidents, GDPR and DORA exposure.

Data/AI

Data quality and governance, how real the advertised AI use cases are.

Teams and organisation

Key people, dependency on vendors, ability to deliver the roadmap.

Contracts and vendors

Licences, outsourcing, change-of-control clauses, hidden commitments.

Costs and trajectory

Run and Cloud costs, investments to plan for.

How it works

An engagement in four stages.

01

Scoping

Investment thesis, data room access, interview list. One to two days.

02

Review

Documents, interviews with the CTO or CIO and teams, demos. Five to eight days.

03

Analysis

Risks, remediation costs, scenarios. Two to three days.

04

Read-out

Presentation to the deal team, then follow-up with your advisors.

What you get

A short, costed report: red flags ranked by severity, estimated remediation costs, points to take into the negotiation or legal documentation, and priorities for the first 100 days.

FAQ

Your questions.

How long does a Tech Due Diligence take?

Usually 10 to 15 working days, depending on the size of the target and the quality of the data room.

How is it different from a standard IT audit?

An audit lists findings. A due diligence ties them to the business plan: which risks affect value, what fixing them costs and what to negotiate.

Can you stay on after closing?

Yes. I can move on to the 100-day plan, or step in as interim CIO or CDO to implement the recommendations.
